Terms & Conditions

1. Nature of Services

SABI TECH provides the following professional services:

• Consultation & Advisory: Paid discovery sessions, requirement workshops, technical advisory meetings, and solution scoping calls.
• Software Development: Custom mobile applications (Android & iOS), web applications, e-commerce platforms, multi-vendor marketplaces, and AI/ML solutions.
• Maintenance & Support: Post-delivery bug fixes, enhancements, performance monitoring, and ongoing technical support.
• Digital Solutions: UI/UX design, system integration, API development, and cloud deployment services.

2. Fees & Payment Terms

• Consultation Fees: SABI TECH charges a fee for all consultation and advisory meetings. The fee for each session will be communicated and agreed upon prior to the meeting. Payment must be completed before the session is confirmed and scheduled.
• Project Fees: Software development projects are priced based on scope, complexity, and timeline. A detailed proposal and quote will be shared before work commences. Projects are typically billed on a milestone or advance-payment basis as agreed in the project agreement.
• Payment Methods: Payments may be made via UPI, bank transfer, credit/debit card, or any other method agreed upon. All payments are processed securely.
• Taxes: All applicable taxes (including GST) will be added to the fees as per prevailing Indian tax laws and will be reflected in the invoice.
• Late Payments: Delayed payments may result in pausing of active development work until dues are cleared. SABI TECH reserves the right to charge interest on overdue payments at the rate of 1.5% per month.

3. Service Delivery

• All timelines and delivery schedules will be outlined in the project proposal or service agreement. SABI TECH will make every effort to meet the agreed timelines.
• Delays caused by client inaction, delayed feedback, change in requirements, or force majeure events shall not be the liability of SABI TECH.
• Software deliverables will be handed over digitally (via repository access, deployment links, or secure file transfer).
• Acceptance of a deliverable by the client constitutes confirmation that the milestone is complete and satisfactory.

4. Intellectual Property

• Upon full payment of all agreed fees, the client will own the intellectual property rights to the custom software developed specifically for them under the project.
• SABI TECH retains ownership of all pre-existing code libraries, frameworks, tools, and methodologies used in the development process. A non-exclusive licence to use these in the delivered product is granted to the client.
• Any work product created during a consultation session remains the intellectual property of SABI TECH unless explicitly transferred in writing.
• The Platform design, content, brand name 'SABI TECH', and 'Tech Logic Vibe' are the exclusive intellectual property of SABI TECH and may not be reproduced without written permission.

5. Confidentiality

Both SABI TECH and the client agree to keep confidential all proprietary information, business data, technical specifications, and any other sensitive information shared during the course of service delivery. This obligation survives the termination of any project or engagement.

6. Client Obligations

• Clients must provide accurate, complete, and timely information, feedback, and approvals required for project progress.
• Clients are responsible for ensuring that any content, data, or materials they provide do not infringe third-party rights or violate applicable laws.
• Clients must not use any SABI TECH service for any unlawful, fraudulent, or harmful purpose.
• Clients agree to honour all payment obligations as per the agreed terms and invoices.

7. Limitation of Liability

• SABI TECH's liability to any client for any cause whatsoever shall be limited to the total fees paid by the client to SABI TECH for the specific service in question.
• SABI TECH shall not be liable for any indirect, incidental, special, or consequential damages, including loss of revenue, loss of data, or business interruption.
• SABI TECH does not guarantee that any software will be completely free of bugs or errors but commits to resolving critical issues reported within the agreed warranty period.

8. Termination

Either party may terminate a service engagement with written notice. Upon termination, the client shall pay for all work completed up to the termination date. Refunds (if any) shall be governed by the Refund & Cancellation Policy available on this Platform.

9. Governing Law & Dispute Resolution

• These Terms are governed by and construed in accordance with the laws of India.
• Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved amicably through mutual discussion.
• If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts in Coimbatore, Tamil Nadu, India.
• All communications relating to disputes must be sent in writing to info@techlogicvibe.com.

10. Modifications to Terms

SABI TECH reserves the right to modify these Terms at any time. Updates will be published on this page with a revised date. Continued use of the Platform or services after changes constitutes acceptance of the updated Terms.
